AT-LEGAL-004 — Alta Terminal Market Data and Third-Party Services Terms
1. Scope
These Terms govern market data, reference data, news, analytics, execution connectivity, position or custody records, settlement connectivity, and other services supplied to Alta Terminal by independent providers.
2. Provider Role
Alta Terminal may display or transmit information obtained from providers and may send Customer-authorized instructions to providers. Providers are independent services unless expressly identified as an Alta Group affiliate.
Provider names, roles, and material service limitations may be disclosed in the relevant feature, confirmation, support article, or service notice.
3. Data Is Informational
Quotes, charts, rankings, news, company or security information, analytics, reference values, and calculated portfolio information are provided for informational and virtual-economy use. They are not personalized advice or a guarantee that a transaction can occur at a displayed value.
4. Delays and Corrections
Data may be real-time, delayed, indicative, simulated, cached, incomplete, or corrected. Alta Terminal may change or remove information when a source corrects it or when we reasonably believe it is inaccurate.
Timestamps indicate when information was generated, received, or processed and may not represent the current provider state.
5. Ownership and License
Alta Terminal, Alta Group, providers, and licensors retain their respective rights in software, displays, compilations, data feeds, analytics, logos, and documentation.
The Customer receives a limited, personal, revocable right to view and use enabled information within Alta Terminal. No ownership in the underlying data or service is transferred.
6. Prohibited Data Use
Without written permission, the Customer may not:
- scrape, harvest, bulk-download, mirror, or systematically capture data;
- redistribute, resell, sublicense, broadcast, or create a competing data service;
- remove attribution or ownership notices;
- reverse engineer a feed or private interface;
- use data to manipulate or disrupt a virtual market;
- bypass rate limits, access controls, or feature restrictions; or
- use provider data after access has been revoked.
Ordinary screenshots and limited quotations for personal or community discussion are permitted unless a displayed provider notice states otherwise.
7. Automation
Alta Terminal does not authorize bots, scripts, bulk harvesting, scraping, or reverse-engineered access to Terminal interfaces or data. Ordinary browser or application use of enabled features does not grant permission for automated collection or redistribution.
8. Third-Party Availability
A provider may delay, reject, restrict, suspend, change, or terminate its service. Alta Terminal may disable an affected feature, change providers, or provide reduced functionality without promising uninterrupted substitution.
9. Instructions and Provider Responses
When Alta Terminal transmits an instruction, the provider may independently validate and accept or reject it. A local acknowledgment means the instruction was received by Alta Terminal; it does not necessarily mean the provider accepted or executed it.
Provider-confirmed or reconciled records control over provisional displays when inconsistent.
10. Provider Terms
Some features may require acceptance of provider-specific terms. Alta Terminal will identify those terms before the feature is used when reasonably practicable. The Customer must not use a provider-dependent feature after rejecting required provider terms.
11. Privacy and Data Sharing
Alta Terminal may share identifiers, account details, instructions, security information, and operational data with a provider when reasonably necessary to deliver, secure, reconcile, or support a requested service.
Where a provider uses a pooled or omnibus Alta account, the provider may identify Alta rather than the individual Customer as its account holder. Alta Terminal may transmit Customer-authorized instructions through that account and use its own internal ledger to allocate provider responses, executions, cash, and positions among Customer portfolios.
Data handling remains subject to the Alta Group Privacy Policy and applicable disclosed provider terms.
12. Attribution and Conflicts
Alta Terminal may identify a data or service source through names, links, or logos. Alta Terminal may pay or receive fees related to connectivity, data, execution, or service availability. Material arrangements affecting Customer use will be disclosed where reasonably practicable.
13. Disclaimer
Alta Terminal does not warrant that third-party data or services are accurate, complete, secure, available, fit for a particular purpose, or free from infringement or error. Nothing here excuses Alta Terminal from accurately describing its own role or intentionally misrepresenting provider information.
14. Suspension and Termination
Access may be limited or terminated for provider requirements, misuse, security concerns, unpaid charges, excessive requests, intellectual-property concerns, or violation of these Terms.
15. Incorporation
These Terms are incorporated into the Alta Terminal Customer Agreement whenever a Customer uses market data or a provider-dependent service.
