AT-LEGAL-001 — Alta Terminal Customer Agreement
1. Agreement and Scope
This Alta Terminal Customer Agreement (the “Agreement”) governs access to and use of Alta Terminal by an individual or an authorized representative of an organization (the “Customer”).
Alta Terminal LLC (“Alta Terminal,” “we,” “us,” or “our”) is an Alta Group N.V. subsidiary that provides brokerage-style account, portfolio, research, and order-entry tools for supported virtual-economy instruments.
This Agreement applies together with:
- the Alta Group Terms of Service;
- the Alta Group Privacy Policy;
- the Alta Terminal Trading and Order Handling Terms;
- the Alta Terminal Risk Disclosure;
- the Alta Terminal Market Data and Third-Party Services Terms;
- the Alta Terminal Fee Schedule;
- the Alta Terminal Crypto Trading and Custody Disclosure, when crypto trading is used; and
- any product-specific notice accepted by the Customer.
If a product-specific document conflicts with this Agreement, the more specific document controls for that product. Alta Group documents continue to control group-wide platform, privacy, intellectual-property, and acceptable-use matters.
2. Virtual-Economy Notice
Alta Terminal is designed for Minecraft, Discord, roleplay communities, fictional businesses, and virtual economies.
Unless Alta Group expressly states otherwise in writing:
- Alta Terminal is not a real-world broker, dealer, investment adviser, securities exchange, bank, custodian, or clearing agency;
- an Alta Terminal account is not a real-world brokerage account;
- balances, instruments, orders, trades, positions, dividends, and market data represent fictional, simulated, in-game, or roleplay value;
- virtual assets are not legal tender, deposits, securities, or financial products under real-world law;
- no deposit insurance, investor-protection scheme, or government guarantee applies; and
- nothing provided by Alta Terminal is real-world investment, legal, accounting, or tax advice.
3. Services and Launch Status
Alta Terminal may provide account dashboards, watchlists, research tools, portfolio records, statements, market information, order entry, and access to supported third-party execution, custody, data, or settlement services.
A feature is available only when it is visibly enabled in the Customer’s account. Marketing pages, demonstrations, roadmaps, mock data, disabled controls, and documentation do not promise that a feature is live or will launch.
Alta Terminal does not operate a public securities exchange. When stock trading is enabled, Alta Terminal may transmit eligible stock orders to an independent venue or service provider under the Trading and Order Handling Terms. When fictional crypto instruments are enabled, Alta Terminal may execute eligible market orders against Alta’s internal Alta Crypto ledger venue under the Crypto Trading and Custody Disclosure.
4. Eligibility and Account Approval
The Customer must:
- maintain an eligible Alta Group account and connected Discord identity;
- provide accurate and current information;
- have authority to act for any represented organization;
- complete requested verification or risk review;
- complete required Alta onboarding, Minecraft verification, and current Terminal consent;
- comply with this Agreement and applicable community rules; and
- use the account only for lawful, authorized virtual-economy purposes.
We may approve, reject, restrict, or condition an application. Access to one Alta Group product does not guarantee access to Alta Terminal or any particular Terminal feature.
5. Account Type and Authority
Unless a separate written agreement expressly provides otherwise, every Alta Terminal account is a fully funded cash-style virtual account. Alta Terminal does not offer margin, credit, short selling, options, securities lending, discretionary management, or investment-advisory services.
Orders submitted through an authenticated account are treated as authorized instructions. Organizational Customers are responsible for inviting and removing Company Members and for activity performed by those Members.
Alta Terminal may offer an in-progress Company Member feature for organizational accounts. The feature may be incomplete, change, be reset, be paused, or be unavailable. It exposes only Owner and Member. The primary owner is the founder recorded by Alta Terminal. An invitation gives a Member the same full access as the Owner across the organization workspace and connected Alta products, including funding, settings, invitations and member removals, scheduled trades, and crypto activity. Every Member may invite or remove other Members and edit organization settings, but no Member may remove the primary owner through the membership feature.
Alta Terminal does not verify that a Company Member is an employee, contractor, officer, or agent, and does not guarantee that membership access matches the organization’s internal job title, instructions, or expectations. The organization is responsible for deciding whom to invite, confirming the person’s authority, explaining the full-access model, monitoring activity, and promptly removing a Member who should no longer act for the organization. Actions taken through an authenticated Member account may be treated as authorized organizational instructions.
To the maximum extent allowed by applicable rules and law, Alta Terminal is not responsible for losses arising from an organization’s invitation or retention of a Company Member, the full-access membership model, failure to remove a Member, shared credentials, or an internal employment, ownership, or management dispute. This does not exclude liability that cannot lawfully be excluded or liability caused by Alta Terminal’s fraud, gross negligence, or intentional misconduct.
The Customer may not transfer, sell, share, or assign an account or permit unauthorized access.
6. Security
The Customer must protect Discord, Minecraft, email, device, session, recovery, and other credentials connected to the account. The Customer must promptly report suspected compromise or unauthorized activity.
Alta Terminal may require reauthentication, invalidate sessions, restrict activity, or freeze an account when necessary to protect the Customer, Alta Group, a provider, or the platform.
7. Cash, Buying Power, and Funding
Displayed cash, available funds, buying power, pending funds, and settled funds may differ. Funding may be provided through Alta Bank or another approved payment or settlement provider.
A Bank-to-Terminal funding transfer moves eligible virtual Florins from an Alta Bank account to the cash ledger of the selected Terminal portfolio. A Terminal-to-Bank funding transfer moves eligible portfolio cash to the selected Bank account. A funding transfer is not a securities order and does not by itself move value into or out of an external execution provider's account.
A displayed balance is subject to pending activity, holds, fees, reversals, corrections, provider confirmation, and settlement status. Alta Terminal may reject or delay an order when available funds are insufficient or uncertain.
Alta Terminal does not pay interest on uninvested virtual cash unless a separate product notice expressly provides otherwise.
8. Customer Orders
The Customer is responsible for reviewing the instrument, side, quantity, order type, price, duration, account, estimated cost, and other instructions before submission.
Submitting an order does not guarantee acceptance, routing, execution, price, liquidity, cancellation, or settlement. A request to cancel or modify an order is only a request and may arrive too late.
Detailed order handling, third-party routing, correction, and execution terms are incorporated from AT-LEGAL-002.
9. Positions and Custody Records
Alta Terminal maintains a customer-level internal ledger for each portfolio's virtual cash, stock positions, crypto wallet balances (when a wallet exists), orders, fills, and funding activity. An external execution provider may operate one pooled or omnibus account for Alta stock activity rather than a separate provider account for every Customer. Fictional crypto balances are custodial Alta ledger records only and are not held on any blockchain. In the stock omnibus model, the Customer's beneficial virtual interest is the amount allocated to the Customer in Alta Terminal's internal ledger; the Customer does not receive direct ownership or control of the provider account.
Positions displayed by Alta Terminal reflect records received from, allocated from, or reconciled with applicable platform and third-party systems. A third-party provider may execute transactions, maintain pooled authoritative records, hold virtual assets, or process corporate actions. Alta Terminal may aggregate eligible instructions, allocate provider executions to Customer portfolios, and reconcile pooled provider activity against its internal customer records using a consistently applied operational method.
Alta Terminal may mark a position pending, unsettled, restricted, frozen, suspended, or unavailable while records are reconciled or an issue is investigated.
The Customer grants Alta Terminal authority to provide necessary instructions and information to approved providers for account operation.
10. Statements, Confirmations, and Review
Alta Terminal may provide confirmations, statements, order history, transaction history, position records, and notices electronically.
The Customer must review these records promptly and report an error or unauthorized transaction through official support within fourteen days after the record becomes available. Failure to report promptly may limit our ability to investigate or correct the issue, but does not authorize intentional misconduct or prevent a correction we determine is necessary.
11. Fees
Fees are governed by the Alta Terminal Fee Schedule and any confirmation displayed before an instruction is submitted. Third-party charges may be passed through only when disclosed or reasonably attributable to a Customer-requested service.
We may deduct an authorized fee from available virtual cash or transaction proceeds. We will publish material fee changes before they apply to new activity.
12. Customer Responsibilities
The Customer is responsible for:
- deciding whether a virtual instrument or transaction is appropriate;
- understanding the applicable rules, risks, fees, and provider terms;
- maintaining sufficient funds;
- monitoring open orders and account activity;
- reviewing company and market information independently; and
- keeping contact and authorization information current.
Alta Terminal does not monitor the account for the Customer’s investment objectives and does not provide personalized recommendations.
13. Prohibited Conduct
The Customer may not:
- commit fraud, deception, manipulation, wash trading, spoofing, or artificial-volume activity;
- exploit errors, stale prices, duplicate messages, race conditions, or provider failures;
- use unauthorized automation, scraping, or bots;
- evade limits, suspensions, identity checks, or account controls;
- trade using stolen, compromised, or improperly obtained information;
- impersonate another person, organization, company, provider, or staff member;
- interfere with Alta Group or third-party systems; or
- violate applicable server, Discord, Minecraft, community, provider, or platform rules.
14. Restrictions and Corrections
Alta Terminal may reject, hold, route, cancel, correct, reverse, or investigate activity when reasonably necessary to address fraud, authorization concerns, insufficient funds, duplicate activity, manifest error, provider action, settlement failure, security incidents, legal concerns, or platform integrity.
We may restrict specific instruments, order types, accounts, providers, or services without restricting the entire platform.
15. Companies and Corporate Actions
Company profiles, announcements, distributions, splits, mergers, symbol changes, and other corporate actions may originate from companies or third-party providers. Alta Terminal may process or display them based on information reasonably available to us.
Alta Terminal does not guarantee company disclosures or corporate-action outcomes. Corrections may be applied when a company or provider changes its instructions or when an error is identified.
16. Market Data and Third Parties
Quotes, charts, reference data, news, execution, custody, settlement, and other services may be supplied by independent providers. Their availability, rules, and limitations may affect Alta Terminal.
The Alta Terminal Market Data and Third-Party Services Terms are incorporated into this Agreement.
17. Risk Disclosure
The Customer acknowledges the Alta Terminal Risk Disclosure. Virtual instruments may become illiquid or worthless, providers may fail, orders may execute differently than expected, and the Customer may lose the entire virtual value committed to a position.
18. Conflicts
Alta Terminal and its affiliates may provide banking, treasury, technology, or administrative services to Customers or organizations whose instruments appear in Terminal. Alta Terminal may receive service fees from Customers, affiliates, or providers.
We will not represent an affiliate relationship, commercial arrangement, or paid placement as independent advice. Material transaction-specific conflicts known to us will be disclosed where reasonably practicable.
19. Service Availability
Services may be delayed, interrupted, limited, changed, or withdrawn. Alta Terminal does not guarantee continuous availability, data accuracy, execution speed, provider performance, or recovery of every interrupted instruction.
Maintenance, security events, provider outages, Internet failures, platform migrations, and extraordinary community events may affect service.
20. Privacy and Communications
Personal and account information is handled under the Alta Group Privacy Policy. The Customer authorizes electronic delivery of agreements, notices, confirmations, statements, security messages, and service communications through the website, Discord, email, or another approved channel.
21. Suspension and Termination
The Customer may stop using Alta Terminal, subject to open orders, unsettled activity, unresolved disputes, and required record retention.
Alta Terminal may suspend, restrict, or terminate access for security, fraud, abuse, inactivity, provider requirements, unresolved obligations, rule violations, or business discontinuation. Where practical, we will provide instructions concerning remaining virtual cash and positions.
22. Records and Evidence
Alta Terminal may rely on authenticated instructions, provider messages, database records, audit logs, timestamps, confirmations, and communications when investigating activity. Records may be corrected when reliable evidence shows they are inaccurate.
23. Disclaimers and Limitation of Liability
To the maximum extent permitted by the rules governing the virtual environment, Alta Terminal services are provided on an “as available” basis. Alta Terminal and Alta Group do not guarantee profit, liquidity, execution, data accuracy, provider availability, or uninterrupted access.
Alta Terminal, Alta Group, their affiliates, personnel, and providers are not liable for indirect, incidental, special, consequential, punitive, or lost-profit damages arising from virtual-economy activity. Any direct liability is limited to the virtual value of the affected transaction or the fees paid for the affected service, whichever is greater, except where the applicable platform rules prohibit that limitation.
Nothing in this section excuses intentional misconduct or obligations that cannot validly be limited.
24. Indemnification
The Customer agrees to protect Alta Terminal, Alta Group, their affiliates, and personnel from third-party claims arising from the Customer’s fraud, unauthorized activity, rule violations, false information, misuse of automation, infringement, or unlawful conduct. This provision does not apply to claims caused by the protected party’s intentional misconduct.
25. Changes
We may update this Agreement prospectively. Material changes will be posted or otherwise communicated and may require renewed affirmative acceptance before new Terminal activity. If affirmative acceptance is not required, continued use after the stated effective date constitutes acceptance. A Customer who does not agree must stop initiating new activity but may be permitted to review records, cancel eligible open instructions, resolve obligations, transfer eligible remaining virtual cash, close a product, or contact support.
26. Disputes and Support
The Customer must first submit a dispute through official Alta Terminal support and provide relevant transaction identifiers and evidence. Alta Terminal will review available records and may consult affected providers or Alta Group functions.
This Agreement is governed by the applicable rules of Alta Group and the Newport virtual environment. It does not select a real-world securities-law regime or represent that Alta Terminal is registered under one.
27. Entire Agreement and Severability
This Agreement and incorporated documents form the agreement for the Customer’s use of Alta Terminal. If a provision cannot be applied, the remaining provisions continue to operate to the extent practicable.
28. Acceptance
By accepting electronically or using an enabled Alta Terminal account after receiving this Agreement, the Customer agrees to it.
