AG-LEGAL-003 — Alta Group Intellectual Property Policy
1. Purpose
This Intellectual Property Policy explains who owns Alta intellectual property, how Alta brands and assets may be used, and what users, staff, contractors, subsidiaries, and third parties may not do without permission.
This Policy applies across the Alta ecosystem.
2. Alta Intellectual Property
Alta Group N.V. owns or controls the intellectual property used across Alta services, including but not limited to:
- names;
- logos;
- icons;
- slogans;
- trade names;
- brands;
- websites;
- user interfaces;
- software;
- source code;
- APIs;
- databases;
- bots;
- Discord integrations;
- documents;
- agreements;
- policies;
- disclosures;
- designs;
- graphics;
- product names;
- business names;
- domain names;
- internal systems;
- operating procedures;
- platform content; and
- other materials created for or used by Alta.
This includes intellectual property used by Alta Group and its subsidiaries, including Alta Bank, Alta Exchange, Alta Terminal, NCC, and any future Alta entity or product.
3. Ownership by Alta Group
Unless Alta Group states otherwise in writing, all Alta intellectual property is owned by Alta Group N.V.
Subsidiaries may use Alta intellectual property only because Alta Group permits them to use it for approved business operations.
No subsidiary, employee, contractor, officer, director, user, customer, merchant, issuer, institution, or third party receives ownership of Alta intellectual property by using, working on, contributing to, or interacting with Alta services.
4. Subsidiary Use
Alta subsidiaries may use Alta intellectual property for their approved business purposes.
This includes use by:
- Alta Bank;
- Alta Exchange;
- Alta Terminal as a product of Alta Exchange;
- Newport Clearing Corporation (“NCC”);
- Alta Solutions;
- Alta Law;
- Alta Stakes;
- and any future Alta subsidiary or business line.
Alta Group may limit, update, revoke, or change a subsidiary’s right to use Alta intellectual property at any time.
5. User License
Alta grants users a limited, revocable, non-exclusive, non-transferable permission to access and use Alta services for their intended purpose.
This permission does not allow users to:
- copy Alta services;
- sell Alta materials;
- claim ownership of Alta assets;
- reuse Alta branding;
- reverse engineer Alta software;
- scrape Alta systems;
- clone Alta websites;
- impersonate Alta;
- create confusingly similar services;
- use Alta logos without permission;
- use Alta code without permission;
- access source code without authorization;
- bypass security;
- modify Alta systems without authorization; or
- use Alta intellectual property for commercial purposes without written approval.
Alta may revoke this permission at any time.
6. Prohibited Uses
No person may use Alta intellectual property in a way that:
- misleads users;
- impersonates Alta or an Alta subsidiary;
- suggests false endorsement;
- damages Alta’s reputation;
- creates confusion with Alta services;
- competes unfairly with Alta;
- copies Alta’s products or designs;
- violates Alta rules or agreements;
- violates platform rules;
- violates applicable law;
- bypasses payment, security, or access restrictions;
- uses Alta branding for scams, fraud, or abuse.
7. Branding and Logos
Alta names, logos, icons, colors, slogans, and designs may not be used without permission from Alta Group.
This includes, but is not limited to:
- Alta Group;
- Alta Bank;
- Alta Exchange;
- Alta Terminal;
- NCC;
- Alta Pay;
- Alta Commercial;
- Alta Private;
- Alta Markets;
- any related logos, marks, or product names.
Alta may allow limited use of branding for approved partners, subsidiaries, documents, websites, Discord servers, marketing materials, or platform integrations.
Alta may revoke branding permission at any time.
8. User Content
Users may submit content to Alta services, including company profiles, issuer information, documents, applications, messages, logos, descriptions, support requests, and other materials.
Users keep ownership of their own original content unless another agreement says otherwise.
By submitting content to Alta, users grant Alta a permission to host, store, copy, display, process, moderate, publish, transmit, and use that content as needed to operate Alta services.
Users are responsible for making sure they have the right to submit any content they provide.
9. Company, Issuer, and Merchant Content
Companies, issuers, merchants, and institutions may submit business names, logos, descriptions, disclosures, listings, payment pages, invoices, and other materials.
By submitting those materials, they grant Alta permission to use them for:
- company profiles;
- issuer pages;
- payment pages;
- invoices;
- merchant tools;
- market listings;
- trading interfaces;
- disclosures;
- support;
- compliance review;
- fraud prevention;
- platform records.
Alta may remove, hide, restrict, or modify displayed content if it believes the content is misleading, unsafe, infringing, abusive, low-quality, or harmful to platform integrity.
10. Feedback and Suggestions
If a user, employee, contractor, customer, merchant, issuer, or other person gives Alta feedback, ideas, suggestions, feature requests, designs, improvements, or recommendations, Alta may use them without owing compensation unless a separate written agreement says otherwise.
This helps Alta improve products without later disputes over who suggested an idea.
11. Work Created for Alta
Any work created for Alta by employees, contractors, officers, directors, developers, designers, writers, staff, or agents belongs to Alta Group unless a written agreement says otherwise.
This may include:
- code;
- designs;
- logos;
- websites;
- databases;
- documents;
- agreements;
- bots;
- APIs;
- product ideas;
- technical systems;
- business processes;
- marketing materials;
- graphics;
- operating procedures.
Contributors must not reuse, resell, publish, transfer, or disclose Alta work without permission.
12. Open Source and Third-Party Materials
Alta may use open-source software, third-party libraries, frameworks, APIs, fonts, graphics, hosting tools, and other external materials.
Those third-party materials remain subject to their own licenses and terms.
Nothing in this Policy gives Alta ownership of third-party materials that Alta does not own.
Nothing in this Policy gives users ownership of third-party materials used inside Alta services.
13. APIs and Data
Alta APIs, API documentation, endpoints, schemas, keys, market data feeds, routing systems, account systems, and related technical materials are controlled by Alta Group.
Users may not access, scrape, copy, resell, overload, reverse engineer, or misuse Alta APIs or data without permission.
Alta may suspend or restrict API access at any time for abuse, security, excessive usage, nonpayment, rule violations, or platform risk.
14. Documents and Legal Materials
Alta documents, including governance documents, agreements, policies, terms, disclosures, charters, rules, templates, and written procedures, are Alta intellectual property.
Users may download or view documents when Alta makes them available for use with Alta services.
Users may not copy, resell, republish, rebrand, or use Alta documents to operate a competing service without permission.
15. Enforcement
Alta may take action against unauthorized use of its intellectual property.
Actions may include:
- warning;
- account restriction;
- account suspension;
- service termination;
- takedown request;
- removal of content;
- revocation of branding permission;
- API restriction;
- Discord restriction;
- legal action if necessary.
Alta may act immediately when misuse creates fraud risk, confusion, security concerns, reputational harm, or platform risk.
16. Reporting Infringement
Users may report suspected intellectual property misuse through official Alta support channels.
Reports should include:
- the material being misused;
- where it appears;
- who is using it, if known;
- why the use is unauthorized or harmful;
- screenshots or links if available.
Alta may investigate and decide what action is appropriate.
17. No Transfer of Rights
Using Alta services does not transfer any intellectual property rights to the user.
No right, title, ownership, license, or permission is granted except the limited permission expressly described in this Policy or another written Alta agreement.
All rights not expressly granted are reserved by Alta Group.
18. Changes to This Policy
Alta may update this Policy at any time.
Updated versions become effective when posted, published, or otherwise made available.
Continued use of Alta services after an update means the user accepts the updated Policy.

This Intellectual Property Policy is adopted by Alta Group N.V. as the platform-wide intellectual property policy for Alta services.
