AE-LEGAL-001 — Alta Terminal Customer Agreement
1. Overview
This Alta Terminal Customer Agreement (“Agreement”) governs access to and use of Alta Terminal.
Alta Terminal is a brokerage-style trading, portfolio, and market access platform operated by Alta Exchange, a wholly owned subsidiary of Alta Group N.V.
By opening an Alta Terminal account, placing orders, viewing holdings, trading securities, using market tools, or accessing related services, the customer agrees to this Agreement, the Alta Group Terms of Service, the Alta Group Privacy Policy, the Alta Exchange Trading Rules, any applicable fee schedule, and any other rules or disclosures provided by Alta Exchange.
Alta Exchange may update this Agreement at any time.
2. Roleplay and Virtual Economy Notice
Alta Terminal is designed for use within Minecraft, Discord, roleplay communities, virtual economies, and related online environments.
Unless Alta Exchange clearly states otherwise in writing:
- Alta Terminal is not a real-world brokerage;
- Alta Exchange is not a real-world securities exchange;
- Alta Terminal accounts are not real-world brokerage accounts;
- securities, shares, balances, orders, trades, positions, dividends, and market data may represent in-game, fictional, simulated, or roleplay value only;
- use of Alta Terminal does not create real-world investment, securities, banking, legal, or financial rights;
- Alta Terminal does not provide real-world investment advice.
Customers are responsible for understanding that Alta Terminal is a roleplay and virtual economy product unless expressly stated otherwise.
3. Alta Exchange, Alta Terminal, and Alta Markets
Alta Exchange is the entity responsible for operating the exchange, marketplace, listing system, trading infrastructure, and related market services.
Alta Terminal is a product and business line of Alta Exchange.
Alta Markets may be used as a public-facing brand for Alta Exchange, Alta Terminal, market data, trading tools, issuer information, and related services.
References to “Alta Terminal” in this Agreement mean the customer-facing trading and portfolio platform operated by Alta Exchange.
References to “Alta Exchange” mean the legal and operating entity responsible for the exchange and market infrastructure.
4. Eligibility
Alta Exchange may require customers to meet eligibility requirements before opening or using an Alta Terminal account.
Alta Exchange may require a customer to:
- create an Alta account;
- connect a Discord account;
- provide accurate account information;
- complete verification steps;
- agree to this Agreement;
- agree to the Alta Exchange Trading Rules;
- comply with Alta Group and Alta Exchange rules.
Alta Exchange may approve, deny, suspend, restrict, or terminate access at its discretion.
5. Customer Account
An Alta Terminal account allows a customer to view market information, submit orders, hold positions, track portfolios, and access trading tools approved by Alta Exchange.
A customer account does not create ownership in Alta Exchange, Alta Group, Alta Terminal, or any Alta subsidiary.
Customers may not sell, transfer, assign, share, or give control of an Alta Terminal account to another person without Alta Exchange approval.
Alta Exchange may rely on its records to determine account ownership, permissions, positions, balances, and trading history.
6. Account Security
The customer is responsible for protecting access to their Alta Terminal account, Discord account, Minecraft account, email, device, and login credentials.
The customer agrees not to:
- share login credentials;
- allow unauthorized users to access the account;
- use another person’s account;
- impersonate another person or entity;
- bypass security controls;
- exploit bugs or technical errors;
- attempt unauthorized access to Alta systems;
- submit false information.
Alta Exchange is not responsible for losses caused by the customer’s failure to protect account access.
7. Trading Authority
By submitting an order through Alta Terminal, the customer authorizes Alta Exchange to process the order according to the customer’s instructions, this Agreement, the Alta Exchange Trading Rules, and applicable platform procedures.
The customer is responsible for verifying:
- the security;
- ticker symbol;
- order type;
- quantity;
- price;
- side of trade;
- account;
- timing;
- estimated fees;
- any other order details.
Alta Exchange may rely on orders submitted through an authenticated account.
8. Orders
Alta Terminal may support order types approved by Alta Exchange.
These may include:
- market orders;
- limit orders;
- stop orders;
- cancellation requests;
- modification requests;
- other order types approved by Alta Exchange.
Alta Exchange may add, remove, restrict, or change supported order types at any time.
Submitting an order does not guarantee execution.
9. Order Acceptance, Rejection, and Cancellation
Alta Exchange may accept, reject, cancel, modify, delay, route, hold, or review an order when necessary.
Reasons may include:
- insufficient funds;
- insufficient securities;
- account restrictions;
- trading halts;
- market closure;
- invalid order details;
- suspicious activity;
- market manipulation concerns;
- technical issues;
- system delays;
- listing restrictions;
- risk controls;
- violation of trading rules;
- platform integrity concerns.
Alta Exchange is not required to accept or execute every order.
10. Execution and Trade Finality
A trade is not final until completed and recorded by Alta Exchange.
Alta Exchange may cancel, correct, adjust, or reverse trades when necessary to address:
- obvious errors;
- duplicate trades;
- technical errors;
- unauthorized activity;
- market manipulation;
- invalid orders;
- settlement failure;
- system issues;
- rule violations;
- platform integrity concerns.
Alta Exchange records are the official records of orders, executions, trades, positions, and account activity unless Alta Exchange determines that a correction is required.
11. Settlement
Alta Exchange may establish settlement procedures for trades completed through Alta Terminal.
Settlement may involve transfer of securities, balances, credits, debits, fees, or other records within Alta systems.
Alta Exchange may delay, fail, reverse, or adjust settlement if necessary to resolve errors, insufficient funds, insufficient securities, account restrictions, disputes, technical issues, rule violations, or platform integrity concerns.
12. Securities and Holdings
Alta Terminal may display securities, shares, units, interests, or other market instruments approved by Alta Exchange.
Holdings displayed in Alta Terminal represent the customer’s recorded position within the Alta Exchange system.
A displayed holding may be restricted, pending, unsettled, suspended, frozen, or otherwise limited depending on the status of the security, account, order, or market.
Alta Exchange may correct holdings if it determines that an error, duplicate record, invalid trade, reversal, split, dividend, corporate action, or other adjustment occurred.
13. Cash Balances and Buying Power
Alta Terminal may display cash balances, buying power, available funds, pending funds, unsettled funds, restricted funds, or other account values.
Displayed balances may not always equal immediately available funds.
Alta Exchange may hold, restrict, adjust, or correct balances when necessary to address settlement, pending trades, fees, disputes, fraud, technical issues, account restrictions, or other operational concerns.
14. Dividends, Distributions, and Corporate Actions
Listed issuers may conduct dividends, distributions, splits, reverse splits, mergers, buybacks, tender offers, ticker changes, name changes, or other corporate actions.
Alta Exchange may process corporate actions according to issuer instructions, exchange records, platform rules, and Alta Exchange procedures.
Alta Exchange may adjust accounts, holdings, balances, or records to reflect corporate actions.
Alta Exchange is not responsible for issuer errors, false disclosures, delayed disclosures, or issuer misconduct unless a specific written agreement states otherwise.
15. Market Data and Information
Alta Terminal may provide market data, issuer profiles, charts, quotes, news, disclosures, portfolio information, analytics, or other market-related information.
Market data may be delayed, incomplete, inaccurate, corrected, unavailable, or changed.
Alta Exchange does not guarantee that market data, issuer information, quotes, charts, analytics, or portfolio calculations will always be accurate, current, complete, or available.
Customers should not rely on Alta Terminal as the sole source of information for decisions.
16. No Investment Advice
Alta Exchange and Alta Terminal do not provide real-world investment, legal, tax, or financial advice.
Any tools, charts, rankings, descriptions, issuer profiles, analytics, alerts, or educational content are provided for informational or roleplay purposes only.
The customer is responsible for their own decisions.
Alta Exchange is not responsible for losses caused by customer trading decisions.
17. Trading Risks
Trading through Alta Terminal involves risk.
Risks may include:
- loss of virtual or roleplay value;
- price volatility;
- low liquidity;
- order execution delays;
- failed orders;
- failed settlement;
- suspended securities;
- issuer fraud;
- issuer inactivity;
- inaccurate disclosures;
- trading halts;
- platform downtime;
- technical errors;
- account restrictions;
- rule changes;
- market manipulation by users;
- total loss of a position.
The customer accepts these risks.
18. Prohibited Trading Activity
Customers may not use Alta Terminal or Alta Exchange to:
- commit fraud;
- manipulate markets;
- spoof;
- wash trade;
- layer orders;
- front-run;
- trade on unauthorized insider information;
- coordinate artificial prices;
- create fake volume;
- exploit bugs;
- evade restrictions;
- use unauthorized bots or scripts;
- submit false information;
- impersonate another trader, issuer, or staff member;
- abuse APIs;
- harass users or staff;
- violate Alta Exchange Trading Rules;
- violate Minecraft server rules, Discord rules, platform rules, or applicable law.
Alta Exchange may investigate and restrict accounts involved in prohibited activity.
19. Account Restrictions and Enforcement
Alta Exchange may restrict, suspend, freeze, close, or limit an Alta Terminal account when necessary.
Reasons may include:
- suspected fraud;
- suspicious activity;
- unauthorized access;
- market manipulation concerns;
- insider trading concerns;
- account security issues;
- unpaid fees;
- settlement issues;
- excessive disputes;
- rule violations;
- platform abuse;
- issuer-related restrictions;
- legal or policy concerns;
- business reasons;
- protection of market integrity.
Alta Exchange may act immediately and without prior notice if needed.
20. Trading Halts and Security Suspensions
Alta Exchange may halt trading, suspend a security, restrict a ticker, pause order entry, cancel orders, or limit trading activity when necessary.
Reasons may include:
- issuer investigation;
- missing disclosures;
- suspicious trading;
- market manipulation concerns;
- technical issues;
- corporate action processing;
- emergency conditions;
- system maintenance;
- legal or policy concerns;
- protection of market integrity.
Alta Exchange has final authority over trading halts and security suspensions.
21. Fees
Alta Exchange may charge fees for trading, market data, subscriptions, listings, API usage, premium tools, account services, or other services.
Fees may be listed in a fee schedule, product page, confirmation, agreement, disclosure, or account notice.
Alta Exchange may deduct fees from available balances, trading proceeds, or other account balances where allowed by its rules.
Alta Exchange may update fees at any time unless a specific written agreement states otherwise.
22. Statements, Confirmations, and Records
Alta Terminal may provide trade confirmations, account history, statements, portfolio records, order history, transaction records, or notifications through the website, dashboard, Discord, email, or other approved channels.
The customer is responsible for reviewing account activity and reporting errors promptly.
Alta Exchange may rely on its records, logs, screenshots, order history, trade history, account data, staff review, and system records when resolving issues.
23. Disputes and Errors
Customers may submit disputes through official Alta Exchange or Alta Terminal support channels.
Disputes may involve:
- incorrect trades;
- unauthorized trades;
- failed orders;
- incorrect balances;
- incorrect holdings;
- failed settlement;
- trading restrictions;
- issuer issues;
- corporate action errors;
- market data issues;
- technical problems.
Alta Exchange may resolve disputes based on available records, logs, screenshots, trading records, issuer records, staff review, and applicable rules.
Alta Exchange’s decision is final unless Alta Exchange chooses to reopen the matter.
24. Issuer Information and Listed Companies
Companies listed on Alta Exchange may provide disclosures, profiles, announcements, financial information, corporate action notices, or other issuer information.
Alta Exchange may review issuer information but does not guarantee that issuer information is accurate, complete, current, or reliable.
Customers are responsible for reviewing issuer information and understanding the risks of trading securities issued by listed companies.
25. APIs, Automation, and External Tools
Customers may not use bots, scripts, automation, scraping, external tools, or API access with Alta Terminal unless approved by Alta Exchange.
API access, market data access, and developer access may be governed by separate Market Data & API Terms.
Alta Exchange may restrict or terminate API access at any time for abuse, excessive usage, security concerns, nonpayment, rule violations, or platform risk.
26. Service Availability
Alta Terminal and Alta Exchange services may be unavailable, delayed, interrupted, changed, or discontinued at any time.
Alta Exchange does not guarantee that trading systems, account dashboards, bots, websites, APIs, market data, settlement systems, order books, or support systems will always be available or error-free.
Alta Exchange may perform maintenance, emergency shutdowns, upgrades, resets, or feature changes when necessary.
27. Privacy
Alta Exchange may collect and use information as described in the Alta Group Privacy Policy and any applicable Alta Exchange privacy notice.
Alta Exchange may collect and maintain information related to accounts, orders, trades, holdings, balances, issuer interactions, disputes, support requests, API usage, market data usage, account actions, and security reviews.
28. Relationship to Other Agreements
This Agreement applies to Alta Terminal customer accounts.
Other Alta Exchange or Alta Group documents may also apply, including:
- Alta Group Terms of Service;
- Alta Group Privacy Policy;
- Alta Exchange Listing Agreement;
- Alta Exchange Trading Rules;
- Alta Markets Market Data & API Terms;
- applicable fee schedules;
- product-specific disclosures.
If there is a conflict between this Agreement and a more specific product or rule document, the more specific document controls for that subject unless Alta Exchange states otherwise.
29. Limitation of Liability
To the maximum extent allowed by applicable rules and law, Alta Exchange, Alta Terminal, Alta Group, subsidiaries, directors, officers, employees, contractors, agents, and representatives shall not be liable for indirect, incidental, special, consequential, punitive, or lost-profit damages arising from use of Alta Terminal or Alta Exchange services.
Alta Exchange’s total liability for any claim shall not exceed the amount paid by the customer to Alta Exchange for the specific service giving rise to the claim during the thirty days before the claim, unless a specific written agreement states otherwise.
30. Indemnification
The customer agrees to defend and hold harmless Alta Exchange, Alta Terminal, Alta Group, subsidiaries, directors, officers, employees, contractors, agents, and representatives from claims, damages, losses, liabilities, costs, or expenses arising from:
- misuse of Alta Terminal;
- violation of this Agreement;
- violation of Alta Exchange Trading Rules;
- false or misleading information;
- fraud, abuse, or misconduct;
- unauthorized account sharing;
- trading disputes;
- issuer disputes;
- use of APIs or automation;
- violation of server rules, platform rules, community rules, or applicable law.
31. Changes to This Agreement
Alta Exchange may update this Agreement at any time.
Updated versions become effective when posted, published, or otherwise made available.
Continued use of Alta Terminal after an update means the customer accepts the updated Agreement.
32. Termination
The customer may stop using Alta Terminal at any time.
Alta Exchange may suspend, restrict, or terminate access at any time for rule violations, risk, inactivity, fraud, abuse, security concerns, market integrity concerns, business reasons, or platform changes.
Termination does not cancel obligations that existed before termination, including fees, settlement obligations, disputes, restrictions, investigations, or enforcement actions.
33. Contact
Questions, disputes, or support requests should be submitted through official Alta Exchange or Alta Terminal support channels.
34. Approval
This Alta Terminal Customer Agreement is adopted by Alta Exchange as the governing customer agreement for Alta Terminal accounts.
