AB-LEGAL-002 — Alta Bank Business Banking Agreement
1. Overview
This Business Banking Agreement (“Agreement”) governs business bank accounts and related business banking services offered by Alta Bank.
By opening, maintaining, accessing, or using an Alta Bank business account, the business and its authorized users agree to this Agreement, the Alta Bank Deposit Account Agreement where applicable, the Alta Group Terms of Service, the Alta Group Privacy Policy, any applicable fee schedule, and any other rules or disclosures provided by Alta Bank.
Alta Bank may update this Agreement at any time.
2. Roleplay and Virtual Economy Notice
Alta Bank is designed for use within Minecraft, Discord, roleplay communities, virtual economies, and related online environments.
Unless Alta Bank clearly states otherwise in writing:
- Alta Bank is not a real-world bank;
- Alta Bank does not hold real-world business deposits;
- Alta Bank business accounts are not real-world bank accounts;
- balances may represent in-game, fictional, simulated, or roleplay value only;
- business accounts may depend on the rules of the relevant Minecraft server, Discord server, or roleplay community;
- Alta Bank services do not create real-world banking, investment, legal, or corporate rights.
Businesses and authorized users are responsible for understanding that Alta Bank is a roleplay and virtual economy service unless expressly stated otherwise.
3. Eligible Businesses
Alta Bank may allow companies, organizations, merchants, institutions, or other approved entities to open business accounts.
Alta Bank may require a business to:
- submit a business account application;
- identify its owner or authorized representative;
- provide accurate company information;
- connect or identify a Discord server, Discord account, or Minecraft identity;
- complete verification steps;
- maintain accurate records;
- agree to this Agreement;
- follow Alta Bank and Alta Group rules.
Alta Bank may approve, deny, suspend, restrict, or close a business account at its discretion.
4. Business Account Ownership
A business account belongs to the approved business or organization within the Alta Bank system.
The business owner, founder, executive, or approved representative is responsible for the account unless Alta Bank records show otherwise.
Alta Bank may rely on its records to determine:
- who owns or controls the business account;
- who is authorized to act for the business;
- which users have account permissions;
- which users may approve transactions;
- which users may manage account settings.
Use of a business account does not create ownership in Alta Bank, Alta Group, or any Alta subsidiary.
5. Authorized Users
A business may appoint authorized users to access or manage the business account.
Authorized users may include owners, executives, finance managers, employees, contractors, or other approved representatives.
Alta Bank may support permission levels such as:
- Owner;
- Executive;
- Finance Manager;
- Accountant;
- Viewer;
- Support Contact;
- or other roles created by Alta Bank.
A business is responsible for the actions of its authorized users.
Alta Bank may treat actions taken by an authorized user as actions taken by the business.
6. User Permissions
Alta Bank may allow businesses to assign permissions for business banking features.
Permissions may control access to:
- account viewing;
- deposits;
- withdrawals;
- internal transfers;
- merchant invoices;
- payment links;
- recurring invoices;
- Alta Pay;
- account statements;
- team management;
- business verification;
- commercial subscriptions;
- support requests;
- dispute handling;
- business settings.
The business is responsible for assigning permissions carefully.
Alta Bank is not responsible for losses caused by improper permission management, unauthorized internal access, shared credentials, or failure to remove former team members.
7. Business Verification
Alta Bank may require business verification before opening an account or enabling certain services.
Verification may include review of:
- business name;
- owner or representative identity;
- purpose of the business;
- Discord server or community presence;
- Minecraft or roleplay activity;
- business category;
- risk level;
- merchant activity;
- issuer status;
- supporting documents;
- prior platform conduct.
Alta Bank may approve, deny, request more information, suspend, revoke, or update verification at any time.
8. Deposits
Alta Bank may allow business deposits through approved methods.
Deposit methods may include:
- manual deposit requests;
- proof uploads;
- staff-reviewed deposits;
- customer payments;
- merchant payments;
- internal transfers;
- Alta Pay;
- NCC or interbank transfers;
- other methods approved by Alta Bank.
Alta Bank may accept, reject, delay, review, reverse, or adjust a deposit if necessary to address fraud, mistakes, duplicate submissions, insufficient proof, abuse, technical errors, platform issues, or rule violations.
Deposits are not final until accepted and recorded by Alta Bank.
9. Withdrawals
Alta Bank may allow business withdrawals through approved methods.
Alta Bank may require withdrawal review, proof, staff approval, authorized user approval, balance checks, or other procedures before completing a withdrawal.
Alta Bank may delay, deny, hold, cancel, reverse, or investigate a withdrawal if necessary to address:
- insufficient funds;
- suspected fraud;
- account restrictions;
- suspicious activity;
- duplicate requests;
- incorrect information;
- unauthorized approval;
- internal business disputes;
- technical errors;
- platform issues;
- compliance or risk concerns;
- violation of this Agreement or Alta rules.
Withdrawals are not final until completed and recorded by Alta Bank.
10. Transfers
Alta Bank may allow transfers between business accounts, personal accounts, merchants, customers, institutions, or approved payment systems.
The business and its authorized users are responsible for entering correct recipient information, amounts, descriptions, and payment instructions.
Alta Bank may delay, reject, reverse, review, or cancel transfers when necessary to protect users, prevent abuse, correct errors, enforce limits, resolve disputes, or protect platform integrity.
A completed transfer may not be reversible unless Alta Bank determines that reversal is appropriate.
11. Business Account Balances
Alta Bank records business account balances within its system.
A displayed balance may include pending, held, restricted, or unavailable funds depending on account status and transaction activity.
Alta Bank may place holds or restrictions on business funds for risk review, disputes, suspected fraud, pending withdrawals, merchant issues, technical errors, platform issues, internal business disputes, or other operational concerns.
Alta Bank’s records are the official records of the business account unless Alta Bank determines that a correction is required.
12. Merchant and Commercial Services
Business accounts may be eligible for merchant or commercial services.
These services may include:
- merchant invoices;
- payment links;
- recurring invoices;
- branded invoices;
- branded payment pages;
- merchant analytics;
- Alta Commercial;
- customer payment tools;
- business subscriptions;
- payment notifications;
- merchant support;
- other commercial tools approved by Alta Bank.
Merchant or commercial services may be governed by additional terms, including the Alta Pay Terms and Merchant Services Agreement.
Alta Bank may approve, deny, restrict, suspend, or terminate merchant access at any time for risk, fraud, abuse, nonpayment, inactivity, verification issues, or rule violations.
13. Fees and Subscriptions
Alta Bank may charge fees for business accounts, merchant services, payments, subscriptions, premium tools, account activity, reviews, or other services.
Fees may be listed in a fee schedule, product page, subscription page, invoice, agreement, disclosure, or account notice.
Alta Bank may deduct applicable fees from a business account balance where allowed by its rules.
Failure to pay fees may result in downgrade, restriction, suspension, termination, holds, or collection-style enforcement within the Alta ecosystem.
Alta Bank may update fees at any time unless a specific agreement states otherwise.
14. Company Team Management
A business is responsible for managing its team members and removing users who should no longer have access.
Alta Bank may provide tools for inviting, removing, promoting, demoting, or managing team members.
Alta Bank may act on instructions from users who appear in Alta Bank records as having proper authority.
Alta Bank is not responsible for internal disputes between owners, executives, employees, partners, shareholders, members, contractors, or other representatives of a business.
15. Internal Business Disputes
Alta Bank is not required to resolve ownership, leadership, employment, shareholder, partnership, or internal management disputes within a business.
If a dispute arises, Alta Bank may:
- freeze or restrict the business account;
- require proof of authority;
- require written confirmation;
- require a court-style or server-government decision, if applicable;
- rely on Alta Bank records;
- rely on the latest verified authorized representative;
- suspend certain actions until the dispute is resolved;
- close the business account if risk becomes unacceptable.
Alta Bank may choose the action it believes best protects the platform and account integrity.
16. Statements and Records
Alta Bank may provide account history, transaction records, statements, confirmations, receipts, invoices, reports, or notifications through the website, dashboard, Discord, email, or other approved channels.
The business and its authorized users are responsible for reviewing account activity and reporting errors or unauthorized activity promptly.
Alta Bank may rely on its records, logs, screenshots, proof submissions, transaction history, account activity, authorization records, and staff review when resolving account issues.
17. Notifications
Alta Bank may send business account notifications through:
- website alerts;
- dashboard messages;
- Discord direct messages;
- Discord channels;
- email, if provided;
- support tickets;
- business notification settings;
- other approved methods.
Notifications may include:
- deposits;
- withdrawals;
- transfers;
- merchant payments;
- invoices;
- payment links;
- subscription billing;
- account restrictions;
- security alerts;
- team changes;
- support messages;
- dispute updates;
- policy updates;
- service announcements.
Some notifications may be required for account security or service operation and may not be fully disabled.
18. Prohibited Business Activity
A business may not use an Alta Bank business account to:
- commit fraud;
- exploit bugs;
- launder or hide funds;
- evade restrictions;
- manipulate balances;
- submit false proof;
- abuse deposits or withdrawals;
- impersonate another business;
- misrepresent ownership or authority;
- use unauthorized accounts;
- assist scams;
- abuse customers or merchants;
- conduct fake or misleading business activity;
- sell prohibited goods or services;
- interfere with Alta systems;
- violate Minecraft server rules, Discord rules, Alta rules, or applicable law;
- conduct activity that Alta Bank considers unsafe, abusive, misleading, or harmful.
Alta Bank may investigate and restrict business accounts involved in prohibited activity.
19. Account Holds, Freezes, and Restrictions
Alta Bank may hold, freeze, restrict, suspend, or limit a business account or transaction when necessary to protect Alta Bank, Alta Group, users, customers, merchants, institutions, or platform integrity.
Reasons may include:
- suspected fraud;
- suspicious activity;
- account takeover concerns;
- unauthorized access;
- internal business disputes;
- customer disputes;
- merchant disputes;
- unpaid obligations;
- rule violations;
- investigation;
- platform abuse;
- payment abuse;
- technical errors;
- legal or policy concerns;
- risk to Alta Bank or Alta Group.
Alta Bank may act immediately and without prior notice if needed.
20. Account Closure
A properly authorized business representative may request business account closure through official support channels.
Alta Bank may close a business account at any time for:
- rule violations;
- fraud or suspected fraud;
- abuse;
- inactivity;
- security concerns;
- false information;
- unpaid obligations;
- excessive disputes;
- platform risk;
- business reasons;
- verification failure;
- violation of this Agreement or Alta Group rules.
Closing a business account does not cancel obligations that existed before closure.
Alta Bank may retain records after account closure for audit, dispute, security, financial, or enforcement purposes.
21. Customer Responsibility and Business Liability
The business is responsible for:
- all activity by authorized users;
- maintaining accurate business information;
- protecting account access;
- managing team permissions;
- reviewing transactions;
- reporting errors promptly;
- following Alta rules;
- following applicable server rules;
- maintaining sufficient balances;
- using correct payment information;
- avoiding scams;
- cooperating with reviews or investigations;
- paying applicable fees;
- complying with this Agreement.
Alta Bank is not responsible for problems caused by user error, false information, internal disputes, scams, shared credentials, external server rules, Discord issues, Minecraft issues, or third-party misconduct.
22. No Interest Unless Stated
Alta Bank business accounts do not earn interest unless Alta Bank clearly states that a specific business account product earns interest.
Any interest-style, yield-style, reward-style, or bonus-style feature is subject to the specific terms of that product.
23. No Real-World Insurance
Unless Alta Bank expressly states otherwise in writing, Alta Bank business accounts are not insured by any real-world deposit insurance program.
Balances may represent virtual, fictional, roleplay, or in-game value only.
24. Service Availability
Alta Bank services may be unavailable, delayed, interrupted, changed, or discontinued at any time.
Alta Bank does not guarantee that business accounts, transactions, deposits, withdrawals, transfers, bots, websites, APIs, merchant tools, or support systems will always be available or error-free.
Alta Bank may perform maintenance, emergency shutdowns, upgrades, or resets when necessary.
25. Privacy
Alta Bank may collect and use information as described in the Alta Group Privacy Policy and any applicable Alta Bank privacy notice.
Alta Bank may collect and maintain information related to business accounts, authorized users, balances, transactions, support requests, disputes, proof uploads, account actions, verification, merchant activity, and security reviews.
26. Limitation of Liability
To the maximum extent allowed by applicable rules and law, Alta Bank, Alta Group, subsidiaries, directors, officers, employees, contractors, agents, and representatives shall not be liable for indirect, incidental, special, consequential, punitive, or lost-profit damages arising from use of Alta Bank business banking services.
Alta Bank’s total liability for any claim shall not exceed the amount paid by the business to Alta Bank for the specific business banking service giving rise to the claim during the thirty days before the claim, unless a specific written agreement states otherwise.
27. Indemnification
The business and its authorized representatives agree to defend and hold harmless Alta Bank, Alta Group, subsidiaries, directors, officers, employees, contractors, agents, and representatives from claims, damages, losses, liabilities, costs, or expenses arising from:
- misuse of the business account;
- activity by authorized users;
- internal business disputes;
- violation of this Agreement;
- violation of Alta Group rules;
- false information;
- fraud, abuse, or misconduct;
- unauthorized account sharing;
- customer or merchant disputes;
- violation of third-party rights;
- violation of server rules, platform rules, or applicable law.
28. Changes to This Agreement
Alta Bank may update this Agreement at any time.
Updated versions become effective when posted, published, or otherwise made available.
Continued use of an Alta Bank business account after an update means the business accepts the updated Agreement.
29. Relationship to Other Agreements
This Agreement applies to business banking accounts.
Other Alta Bank products may have separate agreements, including:
- Deposit Account Agreement;
- Alta Pay Terms;
- Merchant Services Agreement;
- Lending Agreement;
- Cardholder Agreement;
- Fee Schedule;
- product-specific disclosures.
If there is a conflict between this Agreement and a more specific product agreement, the more specific agreement controls for that product unless Alta Bank states otherwise.
30. Contact
Questions, disputes, or support requests should be submitted through official Alta Bank support channels.
31. Approval
This Business Banking Agreement is adopted by Alta Bank as the governing agreement for business banking accounts.
