RECITALS
WHEREAS, the Issuer is a registered company under the laws of the [GOVERNING JURISDICTION / SERVER] with the capacity to extend credit;
WHEREAS, the Cardholder desires to obtain access to an Alta Card credit facility for purchases, payments, advances, or other approved transactions within the Alta ecosystem;
WHEREAS, the Issuer is willing to extend such credit to the Cardholder on the terms and conditions set forth herein;
WHEREAS, the parties intend that this Agreement shall constitute a legally binding contract governed by the applicable contract rules, court procedures, and related laws of the [GOVERNING JURISDICTION / SERVER];
NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:
ROLEPLAY AND VIRTUAL ECONOMY NOTICE
This Agreement is intended for use within Minecraft, Discord, roleplay communities, virtual economies, and related online environments.
Unless Alta Bank expressly states otherwise in writing:
- this Agreement does not create a real-world credit card, charge card, or consumer credit account;
- Alta Bank is not acting as a real-world bank, licensed real-world lender, or real-world card issuer;
- the Card, Credit Limit, Collateral, charges, balances, payments, defaults, remedies, and enforcement rights relate to in-game, fictional, simulated, or roleplay value only;
- enforcement is intended to occur through Alta Bank systems, applicable platform rules, server rules, Discord/community procedures, and any recognized roleplay court or dispute process; and
- nothing in this Agreement creates real-world banking, investment, securities, credit, or legal advice.
The Cardholder acknowledges that the Alta Card is a roleplay/virtual economy credit product unless expressly stated otherwise in writing.
ARTICLE 1: DEFINITIONS AND INTERPRETATION
1.1 Definitions
In this Agreement, unless the context otherwise requires, the following terms shall have the following meanings:
- "Account" means the Alta Card credit account established for the Cardholder under this Agreement.
- "Agreement" means this Alta Card Agreement, including the Card Terms Schedule and all amendments hereto.
- "Alta Card" or "Card" means the revolving credit facility, card product, account feature, or payment instrument issued by Alta Bank to the Cardholder.
- "Available Credit" means the unused portion of the Credit Limit available to the Cardholder, as determined by the Issuer.
- "Billing Cycle" means the recurring period used by the Issuer to calculate charges, interest, fees, payments, and statements.
- "Card Terms Schedule" means the schedule setting forth the specific terms of the Alta Card as outlined in Article 2.
- "Cardholder" means the person, business, company, or entity approved by the Issuer to use the Alta Card.
- "Charges" means purchases, payments, cash advances, transfers, fees, interest, penalties, adjustments, or any other amounts posted to the Account.
- "Collateral" means any and all security interests, pledges, guarantees, deposits, holds, or property securing the Cardholder's obligations under this Agreement, as described in the Card Terms Schedule.
- "Credit Limit" means the maximum amount of credit the Issuer may make available to the Cardholder, as specified in the Card Terms Schedule or later modified by the Issuer.
- "Default" means an Event of Default as defined in Section 10.1.
- "Default Interest Rate" means the interest rate applicable upon an Event of Default, as specified in the Card Terms Schedule.
- "Due Date" means the date by which the Minimum Payment or other required payment must be received by the Issuer.
- "Grace Period" means any period during which interest may not accrue on eligible Charges if the Cardholder pays the required balance in full, if a Grace Period is provided in the Card Terms Schedule.
- "Issuer" means Alta Bank N.V., an Alta Bank entity operating under Alta Group N.V. and the rules of the applicable governing jurisdiction.
- "Late Payment Interest" means additional interest charged when the Cardholder fails to make a required payment when due, as specified in the Card Terms Schedule.
- "Minimum Payment" means the minimum amount required to be paid by the Cardholder for a Billing Cycle, as specified in the Card Terms Schedule or statement.
- "Outstanding Balance" means, at any time, the total unpaid Charges, interest, fees, and other amounts owed by the Cardholder under this Agreement.
- "Secured Card" means an Alta Card secured by Collateral.
- "Statement" means a periodic account statement issued by the Issuer showing Charges, payments, interest, fees, balance, due date, and other account information.
- "Suspension" means a temporary freeze, hold, or restriction on the Account or Card.
- "Unsecured Card" means an Alta Card not secured by Collateral.
- "Use Restrictions" means any limitations on the Cardholder's use of the Alta Card, as specified in the Card Terms Schedule or otherwise imposed by the Issuer.
1.2 Interpretation
In this Agreement, unless the context otherwise requires:
- Words importing the singular include the plural and vice versa;
- References to Articles and Sections are references to articles and sections of this Agreement;
- Headings are for convenience only and do not affect interpretation;
- Any reference to a statute, rule, server law, platform rule, or policy includes that provision as modified or replaced from time to time;
- Where a time period is specified in days, such days shall be calendar days.
ARTICLE 2: CARD TERMS SCHEDULE

ARTICLE 3: ISSUANCE, CREDIT LIMIT, AND ACCOUNT USE
3.1 Card Issuance
Upon approval and execution of this Agreement, the Issuer may establish an Alta Card Account for the Cardholder and make credit available up to the Credit Limit, subject to this Agreement and any restrictions imposed by the Issuer.
The Issuer is not required to issue a physical, digital, visual, or separate card instrument unless the Issuer chooses to do so. The Alta Card may exist solely as a credit account within Alta Bank systems.
3.2 Credit Limit
The Cardholder may not intentionally exceed the Credit Limit.
The Issuer may approve or reject any Charge that would exceed the Credit Limit. If the Issuer allows a Charge that exceeds the Credit Limit, the Cardholder remains responsible for the full Outstanding Balance, including the over-limit amount.
3.3 Changes to Credit Limit
The Issuer may increase, decrease, freeze, suspend, or cancel the Credit Limit at any time based on account history, payment performance, risk, collateral value, platform conditions, or the Issuer's business judgment.
Unless required by a specific written term, the Issuer is not obligated to provide advance notice before reducing, suspending, or freezing the Credit Limit.
3.4 Use of Card
The Cardholder may use the Alta Card only for approved transactions and only within the limits of this Agreement, the Card Terms Schedule, Alta Bank rules, Alta Group rules, and applicable platform or server rules.
3.5 Use Restrictions
The Cardholder shall comply with all Use Restrictions specified in the Card Terms Schedule or otherwise communicated by the Issuer.
The Issuer may waive, modify, or add Use Restrictions by written notice to the Cardholder.
ARTICLE 4: CHARGES, STATEMENTS, AND RECORDS
4.1 Charges
The Cardholder is responsible for all Charges posted to the Account, including Charges made by authorized users, representatives, agents, employees, or any person the Cardholder permits to access or use the Account.
4.2 Unauthorized Charges
The Cardholder shall notify the Issuer promptly upon discovering any suspected unauthorized Charge, compromised account access, mistaken transaction, or other account issue.
The Issuer may investigate the issue and may rely on account logs, platform records, Discord records, screenshots, staff review, transaction data, and other available evidence.
4.3 Statements
The Issuer may provide Statements through the Alta Bank website, dashboard, Discord, email, deal room, direct message, or other approved communication method.
The Cardholder is responsible for reviewing each Statement and reporting errors promptly.
4.4 Records Control
The Issuer's records are the official records of the Account unless the Issuer determines that a correction is required.
The Issuer may correct, adjust, reverse, cancel, or reclassify Charges, payments, fees, interest, limits, Collateral records, or account history if necessary to address errors, duplication, fraud, platform issues, technical issues, or other account concerns.
ARTICLE 5: INTEREST AND FEES
5.1 Interest Accrual
Interest shall accrue on the Outstanding Balance at the Interest Rate specified in the Card Terms Schedule, calculated and applied according to the Interest Type and Compounding Period specified.
Interest shall begin accruing on the applicable date determined by the Card Terms Schedule or by the Issuer's standard card rules.
5.2 Grace Period
If a Grace Period is provided, eligible Charges may avoid interest only if the Cardholder satisfies the requirements of the Grace Period.
Unless the Card Terms Schedule states otherwise, no Grace Period applies after a missed payment, Default, account restriction, or carried balance.
5.3 Fees
The Cardholder shall pay all fees specified in the Card Terms Schedule, any applicable Alta Bank Fee Schedule, or any written notice provided by the Issuer.
Fees may include annual fees, monthly fees, late fees, over-limit fees, cash advance fees, transfer fees, replacement fees, administrative fees, collection costs, enforcement costs, or other disclosed fees.
5.4 Late Payment Interest
If the Cardholder fails to make a required payment when due, Late Payment Interest shall accrue on the overdue payment amount at the rate specified in the Card Terms Schedule.
Late Payment Interest is in addition to, and not in lieu of, any other remedies available to the Issuer.
5.5 Default Interest Rate
Upon the occurrence and continuation of an Event of Default, the Outstanding Balance may bear interest at the Default Interest Rate specified in the Card Terms Schedule until the Event of Default is cured or until all amounts are paid in full.
If no Default Interest Rate is specified, interest shall continue to accrue at the regular Interest Rate.
ARTICLE 6: PAYMENTS
6.1 Minimum Payment
The Cardholder shall pay at least the Minimum Payment by each Due Date.
Payment of the Minimum Payment does not prevent interest from accruing on the remaining Outstanding Balance unless the Card Terms Schedule states otherwise.
6.2 Full Payment
The Cardholder may pay the Outstanding Balance in full at any time.
Payment in full shall not prevent the Issuer from later posting Charges, fees, interest, adjustments, corrections, reversals, or other amounts properly owed under this Agreement.
6.3 Application of Payments
Unless otherwise directed by the Issuer in writing, all payments received by the Issuer shall be applied in the following order of priority:
- First, to unpaid fees, costs, and expenses;
- Second, to Late Payment Interest;
- Third, to accrued and unpaid interest at the Default Interest Rate, if applicable;
- Fourth, to accrued and unpaid interest at the regular Interest Rate;
- Fifth, to overdue Charges;
- Sixth, to current Charges;
- Seventh, to any remaining Outstanding Balance.
6.4 Method of Payment
All payments shall be made to the Issuer's designated account or through an approved Alta Bank payment method.
Payments made by any other method must be approved in advance by the Issuer.
6.5 Currency
All payments shall be made in the Card Currency specified in the Card Terms Schedule, unless the Issuer approves another currency in writing.
6.6 No Offset
The Cardholder waives any right to offset any amounts owed to the Issuer under this Agreement against any amounts the Cardholder claims the Issuer owes to the Cardholder for any reason.
ARTICLE 7: COLLATERAL AND SECURITY INTERESTS
7.1 Secured Card
If the Alta Card is designated as a Secured Card in the Card Terms Schedule, the Cardholder grants to the Issuer a security interest in all Collateral listed in the Card Terms Schedule.
The security interest secures all obligations under this Agreement, including the Outstanding Balance, interest, fees, costs, expenses, enforcement costs, and any other amounts owed.
7.2 Security Deposit or Pledged Assets
Collateral may include a security deposit, pledged funds, pledged assets, guarantees, account holds, business assets, or other property accepted by the Issuer.
The Issuer may hold, restrict, freeze, or apply Collateral as permitted by this Agreement.
7.3 Collateral Value
The Issuer may determine the value of Collateral in its reasonable discretion.
If the Issuer determines that the Collateral is insufficient, impaired, unavailable, disputed, double-pledged, or reduced in value, the Issuer may require additional Collateral, reduce the Credit Limit, freeze the Account, or declare a Default.
7.4 No Double-Pledging
The Cardholder shall not pledge the same Collateral to another lender, creditor, card issuer, bank, institution, or party without the Issuer's written consent.
7.5 Application of Collateral
Upon Default, closure, cancellation, unpaid balance, or other enforcement event, the Issuer may apply Collateral to amounts owed under this Agreement.
Collateral proceeds shall be applied first to enforcement costs and expenses, then to fees, then to interest, then to Charges and Outstanding Balance. Any surplus shall be handled according to applicable rules, court order, agreement, or platform procedure.
7.6 Release of Collateral
Collateral may be released only after all obligations under this Agreement are fully satisfied and the Issuer determines that no pending Charges, disputes, fees, interest, reversals, or other obligations remain.
ARTICLE 8: REPRESENTATIONS AND WARRANTIES
The Cardholder represents and warrants that:
- the Cardholder has authority to enter into this Agreement;
- all information provided to the Issuer is true, accurate, and complete;
- the Cardholder will use the Alta Card only for lawful and permitted purposes within the applicable roleplay or virtual economy environment;
- the Cardholder will not use the Card to commit fraud, exploit bugs, evade restrictions, or violate Alta rules;
- if the Cardholder is a business, the person signing has authority to bind the business;
- the Cardholder is not entering into this Agreement with intent to avoid repayment;
- the Cardholder will promptly notify the Issuer of any material account issue, unauthorized access, or suspected error.
ARTICLE 9: COVENANTS
9.1 Payment Covenant
The Cardholder shall pay all amounts owed under this Agreement when due.
9.2 Account Security Covenant
The Cardholder shall protect account access and shall not share credentials, permit unauthorized use, or allow misuse of the Account.
9.3 Information Covenant
The Cardholder shall provide updated information upon request and shall promptly notify the Issuer of any material change affecting the Account, Collateral, business authority, or ability to pay.
9.4 Compliance Covenant
The Cardholder shall comply with this Agreement, Alta Bank agreements, Alta Group terms, applicable server rules, platform rules, and any recognized roleplay court or dispute process.
9.5 Prohibited Use Covenant
The Cardholder shall not use the Card for prohibited, fraudulent, abusive, misleading, restricted, or unsafe activity.
9.6 Collateral Covenant
If the Card is secured, the Cardholder shall preserve Collateral, avoid double-pledging, and provide additional Collateral if required by the Issuer.
ARTICLE 10: EVENTS OF DEFAULT
10.1 Events of Default
Each of the following constitutes an Event of Default:
- failure to make a required payment when due;
- failure to pay the Outstanding Balance when required;
- exceeding the Credit Limit without curing the over-limit amount when requested;
- unauthorized, fraudulent, abusive, or prohibited use of the Card;
- false or misleading information provided to the Issuer;
- failure to provide requested documentation or information;
- impairment, loss, double-pledging, or reduction of Collateral;
- failure to maintain required Collateral;
- account takeover, unauthorized access, or suspected compromise;
- violation of this Agreement or any Alta Bank or Alta Group agreement;
- violation of applicable server rules, platform rules, or recognized roleplay law;
- insolvency, bankruptcy-style filing, or inability to pay debts as they become due;
- transfer, concealment, or disposal of assets to avoid repayment;
- abuse of disputes, refunds, reversals, or payment systems;
- any event that the Issuer reasonably determines creates unacceptable credit, security, fraud, or platform risk.
10.2 Notice and Cure
The Issuer may, but is not required to, provide notice and an opportunity to cure a Default.
If a cure period is provided, the Cardholder must cure the Default within the period stated by the Issuer.
The Issuer may act immediately without notice if necessary to protect the Issuer, Alta Bank, Alta Group, users, merchants, institutions, Collateral, or platform integrity.
ARTICLE 11: REMEDIES
Upon an Event of Default, the Issuer may exercise any remedy available under this Agreement, applicable rules, platform procedures, server law, recognized roleplay court process, or Alta Bank systems.
Remedies may include:
- freezing, suspending, restricting, or cancelling the Card;
- reducing the Credit Limit;
- declaring the full Outstanding Balance immediately due and payable;
- applying the Default Interest Rate;
- charging late fees, enforcement costs, and administrative fees;
- applying Collateral;
- restricting Alta Bank accounts controlled by the Cardholder within Alta Bank's platform authority;
- setting off amounts owed against available balances held with Alta Bank, where permitted;
- denying future credit, banking, payment, merchant, or exchange services;
- reporting the Default internally within the Alta ecosystem;
- initiating a dispute, claim, or court-style proceeding in the applicable server or roleplay jurisdiction;
- seeking platform, Discord, community, or administrative enforcement;
- taking any other action reasonably necessary to protect the Issuer's rights.
The Issuer's remedies are cumulative and may be exercised separately or together.
ARTICLE 12: SUSPENSION, CANCELLATION, AND CLOSURE
12.1 Suspension
The Issuer may suspend or restrict the Card at any time for risk, suspected fraud, nonpayment, system issues, Collateral concerns, account review, platform issues, or business reasons.
12.2 Cancellation by Cardholder
The Cardholder may request cancellation of the Card.
Cancellation does not cancel the Cardholder's obligation to pay the Outstanding Balance, fees, interest, pending Charges, disputes, or other amounts owed.
12.3 Cancellation by Issuer
The Issuer may cancel the Card at any time.
Reasons may include nonpayment, risk, fraud, abuse, inactivity, false information, Collateral issues, excessive disputes, platform risk, or business reasons.
12.4 Effect of Closure
Upon closure or cancellation, the Issuer may require immediate payment of the Outstanding Balance and may continue to enforce this Agreement until all obligations are fully satisfied.
ARTICLE 13: DISPUTES AND ERRORS
13.1 Disputes
The Cardholder may submit disputes through official Alta Bank support channels or the applicable deal room.
Disputes may involve incorrect Charges, unauthorized Charges, duplicate Charges, payment errors, fee errors, Collateral issues, account restrictions, or technical issues.
13.2 Investigation
The Issuer may investigate disputes using account records, Statements, logs, Discord messages, screenshots, transaction data, staff review, merchant records, and other available evidence.
13.3 Resolution
The Issuer may correct, reverse, adjust, deny, or uphold a disputed Charge based on its review.
The Issuer's decision is final unless the Issuer chooses to reopen the matter or a recognized court/platform procedure requires otherwise.
ARTICLE 14: ASSIGNMENT, TRANSFER, AND CARD RECEIVABLES
14.1 Assignment by Issuer
The Issuer may assign, transfer, sell, pledge, participate, or otherwise dispose of the Account, this Agreement, the Outstanding Balance, receivables, Collateral rights, or related rights without further consent from the Cardholder.
14.2 No Assignment by Cardholder
The Cardholder may not assign or transfer the Card, Account, this Agreement, obligations, rights, or access without the Issuer's written consent.
14.3 Sale or Securitisation of Receivables
The Issuer may package, sell, pledge, securitise, or otherwise transfer card receivables, balances, or rights arising under this Agreement.
The Cardholder's payment obligations remain unchanged unless the Issuer provides different payment instructions.
ARTICLE 15: COMMUNICATIONS AND DEAL ROOM ACCEPTANCE
15.1 Communications
The Issuer may communicate with the Cardholder through the Alta Bank website, dashboard, Discord direct message, Discord channel, deal room, email if provided, support ticket, or any other approved communication method.
15.2 Deal Room Execution
If this Agreement is provided through an Alta Bank deal room, the Cardholder may accept this Agreement by written confirmation, digital signature, message approval, button confirmation, or other recorded acceptance method approved by Alta Bank.
15.3 Notices
A notice or communication is deemed received when sent through an official Alta Bank communication channel, unless the Issuer determines otherwise.
ARTICLE 16: LIMITATION OF LIABILITY AND INDEMNIFICATION
16.1 Limitation of Liability
To the maximum extent allowed by applicable rules and law, the Issuer, Alta Bank, Alta Group, subsidiaries, directors, officers, employees, contractors, agents, and representatives shall not be liable for indirect, incidental, special, consequential, punitive, or lost-profit damages arising from the Card, Account, or this Agreement.
The Issuer's total liability for any claim shall not exceed the amount paid by the Cardholder to the Issuer for the specific card service giving rise to the claim during the thirty days before the claim, unless a specific written agreement states otherwise.
16.2 Indemnification
The Cardholder agrees to defend and hold harmless the Issuer, Alta Bank, Alta Group, subsidiaries, directors, officers, employees, contractors, agents, and representatives from claims, damages, losses, liabilities, costs, or expenses arising from:
- misuse of the Card or Account;
- violation of this Agreement;
- false or misleading information;
- fraud, abuse, or misconduct;
- unauthorized account sharing;
- user-submitted content;
- disputes with merchants, customers, or third parties;
- violation of server rules, platform rules, community rules, or applicable law.
ARTICLE 17: GENERAL TERMS
17.1 Governing Rules
This Agreement is governed by the contract rules, court procedures, platform rules, server rules, and related laws of the [GOVERNING JURISDICTION / SERVER], together with the internal rules and agreements of Alta Bank and Alta Group.
17.2 Amendments
This Agreement may be amended only by written agreement, updated product terms, published Alta Bank rules, or written notice from the Issuer as permitted by this Agreement.
17.3 Severability
If any provision of this Agreement is found invalid or unenforceable, the remaining provisions remain in effect.
17.4 Entire Agreement
This Agreement, the Card Terms Schedule, applicable Alta Bank agreements, Alta Group terms, fee schedules, disclosures, and written amendments form the entire agreement between the parties regarding the Alta Card.
17.5 Borrower Review Acknowledgment
The Cardholder acknowledges that they had the opportunity to read this Agreement, ask questions, review the Card Terms Schedule, and seek advice before accepting.
ARTICLE 18: SIGNATURES
